Puravankara Backs Subsidiary Debt with ₹196 Crore Guarantee

Puravankara Limited has announced the provision of a corporate guarantee worth ₹196 crore on behalf of its wholly owned subsidiary Purvaland Private Limited, issued to facilitate the issuance of Non-Convertible Debentures of equivalent value, as disclosed in a regulatory filing dated April 14, 2026. Vistra ITCL (India) Limited will serve as the debenture trustee for this issuance.

Regulatory Structure and Compliance

The transaction has been disclosed under Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, with the company confirming compliance with SEBI Master Circular requirements issued on July 11, 2023, and last updated on January 30, 2026. Puravankara Limited has clarified that promoter, promoter group, and group companies have no interest in this transaction.

Nature of the Guarantee

The guarantee is a contingent liability with no immediate financial impact, aimed at bolstering internal funding capacity within the Puravankara group. By facilitating this NCD issuance, the parent company is enabling its subsidiary to access debt markets more efficiently, potentially strengthening project funding capacity while keeping the risk consolidated within the group structure.

Puravankara Limited provided a ₹150 crore corporate guarantee to wholly owned subsidiary Purva Oak Private Limited on January 1, 2026, supporting commercial paper issuance through Catalyst Trusteeship Limited.
